1. Agreement to these terms
These terms are the agreement between RXNAIJA HEALTH LTD (CAC
8345514) and the pharmacy that uses RxNaija. By signing in at
app.rxnaija.com, or by letting us operate a WhatsApp assistant for your
pharmacy, you accept them.
If you are accepting on behalf of a pharmacy, you are confirming that you
are authorised to bind it. Where that is true, "you" in this document
means the pharmacy, and everyone you give an account to is covered by it.
They are written the same way as our privacy policy — to be read, rather
than to be survived.
2. What RxNaija is, and what it is not
RxNaija assists your own staff with ordering and enquiries on WhatsApp.
It answers questions about your catalogue, takes orders against your
stock, and keeps the record of what was said.
It does not practise pharmacy, and it does not give clinical advice.
A question about a dose, a child, pregnancy, an interaction, or a symptom
is handed to a registered pharmacist rather than answered. That is not a
setting you can turn off, and it is not a disclaimer we are asking you to
accept in place of the behaviour — it is how the software is built.
- Clinical judgement remains yours. Every clinical decision taken in your pharmacy is taken by your registered staff, on their own responsibility and under their own licence.
- We do not supply, dispense or handle medicines, and we are not a party to the sale between you and your customer.
- We are not a medical device and we do not diagnose.
3. Who these terms bind
They bind the pharmacy and the people it gives accounts to. They do not
bind your customers: someone messaging your pharmacy on WhatsApp is in a
relationship with you, not with us, and section 2 of our
privacy policy explains the same split for
their data.
You confirm that your pharmacy is lawfully operating and, where the law
requires it, registered and supervised by a pharmacist. We may ask for
evidence of that, and may decline or withdraw service if it is not
forthcoming.
4. Accounts and access
- An account belongs to a person, not to a role. Sharing one makes the audit trail — who confirmed an order, who answered a clinical question — untrue, and that record is the thing that protects your staff.
- You are responsible for keeping sign-in details secure, and for what is done under your accounts.
- Tell us promptly if you believe an account has been compromised.
- Each pharmacy's data is separated at the database level and that separation is enforced by the server. Attempting to reach another pharmacy's data is a breach of these terms and, in all likelihood, of the law.
5. Acceptable use
You agree not to:
- use RxNaija for anything unlawful, or in breach of pharmacy regulation;
- decompile, reverse engineer or attempt to derive the source of the software, except where the law expressly permits it;
- use automated systems to access the dashboard, or to send traffic through the assistant, beyond ordinary use;
- upload or transmit malicious code;
- attempt to bypass rate limits, tenant separation, or any other control;
- resell or white-label the service without our written agreement;
- harass, threaten or abuse our staff.
6. Messaging people on WhatsApp
This section matters more than the rest of them put together, because
getting it wrong costs your customers their peace and can cost your
pharmacy its WhatsApp number.
- The assistant replies; it does not solicit. It answers people who wrote to your pharmacy first. You must not use it to contact people who have not.
- Opt-outs are absolute. When someone asks to stop being messaged, they stop being messaged. You must not work around that, and neither will we.
- Consent is per purpose. Someone who wanted order updates has not agreed to marketing. The software keeps those apart and you must not defeat it.
- The provider's rules bind you too. WhatsApp may restrict or disconnect a number that behaves like spam, and we cannot restore access it has withdrawn.
We may pause outbound messaging for a pharmacy if we reasonably believe
it is being used against these rules. We would rather interrupt your
service than help you lose your number.
7. Content your pharmacy puts in
Your catalogue, your prices, your website content, the assistant's name
and welcome note, and anything else you enter are yours, and you remain
responsible for them. You confirm that you have the right to publish what
you publish, and that it is accurate — particularly product information,
which reaches customers as though your pharmacy had said it, because in
substance it has.
You will not enter content that is unlawful, misleading about a medicine,
defamatory, or someone else's private information.
You grant us the limited permission needed to host, render and transmit
that content in order to provide the service — nothing wider. We may
remove content that breaches these terms or the law, and will tell you
when we do.
8. Intellectual property
The software, its design, and the material on this site are owned by
RXNAIJA HEALTH LTD and are not transferred to you. You get the right to
use the service for your pharmacy while these terms are in force, and no
other right.
Your data and your content are not ours. We do not sell them, and we do
not use one pharmacy's commercial information for another's benefit.
If you believe something here infringes a right you hold, write to
support@rxnaija.com with enough
detail to identify it and we will deal with it promptly.
9. Data, and who answers for it
How personal data is handled is set out in our
privacy policy, which forms part of these
terms. In short: for your customers' records the pharmacy is answerable
and we act on your instructions; for your own staff accounts we are
answerable.
You are responsible for having a lawful basis for the customer data you
put into RxNaija, and for answering your customers' requests about it.
We will help you do that.
10. Plans, fees and payments
- Where your pharmacy is on a paid plan, the plan you agreed applies alongside these terms, including any limits on usage.
- We do not process card payments. Your customers pay your pharmacy directly, and no payment card data passes through our systems.
- We may change plan pricing, with reasonable notice before it affects you.
- If a plan lapses, we may limit features. We will not delete your data as a first step — see section 12.
11. Availability, changes and interruptions
We work to keep the service running, but we do not promise it will be
uninterrupted. Maintenance, provider outages, network failures and
WhatsApp disconnections all happen, and some are outside our control.
We may change or withdraw features. Where a change materially reduces
what you rely on, we will give reasonable notice rather than spring it
on you.
12. Suspension and termination
You may stop using RxNaija at any time. We may suspend or end access
where these terms are breached, where use puts other pharmacies or the
WhatsApp number at risk, or where required by law.
Ending the agreement does not mean your records vanish that day.
We will give you a reasonable opportunity to export your pharmacy's data
before it is deleted, and we will delete it afterwards on the schedule in
section 8 of the privacy policy. Suspension for non-payment is not a
reason to destroy a patient record.
13. Disclaimers
The service is provided as it is. We do not warrant that it will be
error-free, that it will meet every requirement you have, or that
information supplied by you or by a third party through it is accurate.
What we do not disclaim. Nothing in this section displaces what
section 2 says about clinical questions being passed to a pharmacist, or
what the privacy policy says about how data is handled. Those are
commitments about how the software behaves, not marketing.
14. Limitation of liability
To the extent the law allows, we are not liable for indirect or
consequential loss, lost profits, lost sales, or loss of data caused by
something outside our reasonable control. Our total liability in
connection with the service in any twelve-month period is limited to the
fees you paid us in that period.
Nothing here limits liability that cannot lawfully be limited —
including for death or personal injury caused by negligence, for fraud,
or for anything the Nigeria Data Protection Act 2023 does not permit us
to contract out of.
15. Indemnity
You agree to cover us against claims brought by a third party that arise
from your use of the service in breach of these terms — in particular
from content you published, from messages sent against section 6, or from
a clinical decision taken in your pharmacy.
This does not apply to the extent the claim arises from our own breach or
negligence.
16. Governing law
These terms are governed by the laws of the Federal Republic of
Nigeria, and the courts of Nigeria have jurisdiction over any dispute
arising from them.
Before going to court, we would ask you to write to us and give us a fair
chance to put the matter right. Most things can be settled that way.
17. Changes to these terms
We may update these terms. The date at the top always says when. Where a
change materially affects your rights or what you owe, we will make a
reasonable effort to tell you directly rather than rely on you noticing
this page.
Continuing to use the service after a change takes effect means you
accept it. If you do not, you may stop using it and section 12 applies.
